I've spent the last three years representing emerging companies and venture capital firms on entity formations, conversions, convertible note and SAFE financings, priced-equity rounds (utilizing NVCA model documents), term sheets, non-disclosure agreements, commercial agreements, cap table management, and general corporate matters. I also have represented technology companies on a number of buy- and sell-side mergers and acquisitions. By working with boutique firms, I've managed demanding timelines while independently leading processes for legal diligence, ancillary negotiations, and closings. Through the entirety of this work, I've also made it a priority to build a friendly rapport with my teammates and counsel across the table.
